APP LICENSE.

This End User License Agreement ("License") is between you and NomaticX, Inc. ("NomaticX") and covers the Nomatic Atlas mobile apps for iOS and Android, including updates, downloadable content such as on-device AI models, knowledge packs, and offline map data, and documentation (the "App"). It works together with our Terms of Service, which govern the service the App connects to. By installing or using the App, you accept this License.

Subject to this License and the Terms of Service, NomaticX grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App for your personal, non-commercial use on devices you own or control. For the iOS App, that use is also subject to the Usage Rules in the Apple Media Services Terms and Conditions, including Family Sharing where enabled.

The App is licensed, not sold. NomaticX and its licensors keep all rights not expressly granted.

Except as this License permits or applicable law requires despite this restriction, you may not:

• copy, modify, translate, or create derivative works of the App;
• reverse-engineer, decompile, disassemble, or try to extract source code, model weights, or data from the App;
• rent, lease, lend, sell, redistribute, or sublicense the App;
• remove or alter any proprietary notices;
• circumvent security, licensing, or usage controls;
• use the App to build a competing product, or to train machine-learning models; or
• use the App in violation of law or the Terms of Service.

The App includes open-source software and third-party components, such as map SDKs, on-device inference runtimes, and language-model weights, that are licensed under their own terms. Notices and license terms for those components are available from us on request at support@nomaticx.com. Where they grant you broader rights than this License, they control for that component.

We may provide updates, which may be required to keep using the App. The App may download AI models, knowledge packs, and map data over your connection, which may count against your data plan. Your personal information is handled under our Privacy Policy.

This License lasts until you or NomaticX end it. It ends automatically if you breach it. When it ends, stop using the App and delete it from your devices. The restrictions, disclaimers, and limitations survive.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW. The disclaimers, limitation of liability, and dispute-resolution provisions of the Terms of Service, including binding arbitration and the class-action waiver, apply to this License.

You may not use or export the App except as allowed by U.S. law and the laws of the place you got it. You confirm you are not located in a country under a U.S. government embargo, or on any U.S. government list of prohibited or restricted parties.

If you got the App from the Apple App Store, you and NomaticX acknowledge that:

• This License is between you and NomaticX only, not Apple. NomaticX, not Apple, is solely responsible for the App and its content.
• Apple has no obligation to provide maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple has no other warranty obligation for the App. Any other claims, losses, liabilities, damages, costs, or expenses from a failure to conform to a warranty are NomaticX's responsibility, to the extent not disclaimed.
• NomaticX, not Apple, is responsible for addressing any claims by you or a third party about the App or your possession or use of it, including product-liability claims, claims that the App fails to conform to legal or regulatory requirements, and consumer-protection, privacy, or similar claims.
• If a third party claims the App or your possession or use of it infringes their intellectual-property rights, NomaticX, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
• You must comply with any applicable third-party terms, such as your wireless carrier's, when using the App.
• Apple and its subsidiaries are third-party beneficiaries of this License, and once you accept it, Apple has the right (and is deemed to have accepted the right) to enforce it against you.

If you got the App from Google Play, the Google Play Terms of Service also apply to your download. Google is not responsible for the App or its support.
