TERMS.

These Terms of Service ("Terms") are a binding agreement between you and NomaticX, Inc. ("NomaticX," "Nomatic Atlas," "we," "us"). They cover the Nomatic Atlas apps for iOS and Android, our websites (including nomaticatlas.com and nomaticatlas.app), the waitlist, the beta program, and every related service (together, the "Service").

By creating an account, joining the waitlist or beta, or otherwise using the Service, you agree to these Terms and to the documents they incorporate: the Privacy Policy, Community Guidelines, AI Terms, App License, and, if you test pre-release builds, the Beta Test Agreement. If you don't agree, don't use the Service.

Section 19 contains a binding arbitration agreement and class-action waiver. It affects how disputes are resolved. You can opt out within 30 days of first accepting these Terms.

You must be at least 18 years old. We ask for your date of birth when you set up your account and will close accounts we learn belong to anyone younger.

• You can form a binding contract with us and are not barred from using the Service under the laws of the United States or where you live.
• You have not been convicted of a sex offense or a violent felony, and are not required to register as a sex offender.
• We have not previously removed you from the Service, unless we've told you in writing that you may return.
• You will keep one personal account. Accounts are for individuals, not businesses, unless we agree otherwise.

You sign up with a phone number, email, or Apple or Google sign-in. Give us accurate information and keep it current. You're responsible for everything that happens under your account, so keep your credentials and device secure and tell us at support@nomaticx.com if you think someone else has access.

You may not sell, transfer, or share your account, impersonate anyone, or create an account for someone else.

Some features may require or offer identity verification. Verification is performed by Stripe, Inc. using a government ID and a matching selfie. Stripe processes those images and any biometric data under its own terms; we receive the result and your verified name and date of birth. See the Privacy Policy.

A verification badge means Stripe matched an ID to a face at a point in time. It is not a background check, and it does not mean we vouch for anyone's identity, character, or intentions.

You own what you post: posts, photos, videos, stories, comments, routes, messages, and activity details ("Your Content"). You're responsible for it and confirm you have the rights needed to post it.

You grant NomaticX a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt (for example, resizing images or stripping location metadata), display, and distribute Your Content only to operate, improve, secure, and promote the Service to the audience you choose. This license ends when Your Content is deleted from the Service, except for copies retained in backups for a limited period, content others have already reshared as the Service allows, and records we must keep by law (see the Privacy Policy).

We do not sell Your Content, and we do not use it to train generative AI models.

We may remove or restrict any content, at our discretion, that we believe violates these Terms or the Community Guidelines, or that creates risk for users or for us. We aren't obligated to monitor content and don't endorse what users post.

Follow the Community Guidelines. In addition, you agree not to:

• Break the law, or help anyone else do so, including trespass, poaching, or violating land-access, permit, or wildlife regulations.
• Harass, threaten, stalk, dox, or intimidate anyone, or share someone's location, route, or personal information without consent.
• Post sexual content involving minors, non-consensual intimate imagery, or content that promotes violence or hate.
• Spam, run scams or pyramid schemes, or use the Service for unapproved commercial solicitation.
• Scrape, crawl, or harvest data; access the Service through unauthorized automated means; or bypass rate limits, quotas, or security measures.
• Reverse-engineer, decompile, or disassemble the Service except where the law expressly allows it despite this restriction.
• Upload malware or interfere with the Service, its servers, or its networks.
• Use the Service or its outputs to build a competing product or to train machine-learning models.

Nomatic Atlas helps people plan real activities together, and some activities let attendees say they're open to dating. Meeting people you know only through an app carries risk.

We do not run criminal background checks, and we do not screen users' histories. We are not responsible for the conduct of any user, on or off the Service. You are solely responsible for your interactions with other users. Meet in public, tell someone your plans and route, arrange your own transportation, and leave if something feels wrong.

Report unsafe behavior in the app. If anyone is in immediate danger, call 911 or your local emergency number first.

Hiking, climbing, riding, paddling, skiing, hunting, fishing, and travel in remote areas are inherently dangerous and can cause serious injury or death. Conditions change quickly, and trail, weather, avalanche, water, fire, and wildlife information can be wrong, late, or incomplete.

You voluntarily assume all risks of any activity you plan, find, join, or organize through the Service. You are responsible for your own decisions, preparation, equipment, training, navigation, and the safety of anyone you bring. Verify conditions with official sources, carry proper navigation and emergency gear, and follow local laws and land-management rules.

Organizers who post an activity are not our employees or agents, and we don't supervise activities. The Service is not an emergency service, a guide service, or a substitute for professional instruction.

The Service includes AI features: Trailhead, which runs on your device, and, where available, Atlas AI, which runs in the cloud. They are governed by the AI Terms. By using an AI feature you agree to them, and the app may ask you to confirm before first use. AI output can be wrong. Never rely on it for safety-critical decisions, and never eat any wild plant or fungus based on it.

Maps, place search, land and hunting-unit boundaries, weather, tides, snowpack, avalanche forecasts, air quality, fire, water-flow, and recreation data come from third parties including Mapbox, OpenStreetMap contributors, and U.S. government agencies. We provide this data "as is" for convenience. It is not legal advice about where you may go, hunt, or fish, and it may not reflect current conditions or closures.

The Service may link to or rely on third-party services (such as Apple, Google, Stripe, and Mapbox). Their terms and privacy policies govern your use of them, and we are not responsible for them.

Some features may require a paid subscription. When offered, subscriptions are purchased through the Apple App Store or Google Play and are billed by them.

• Auto-renewal. Subscriptions renew automatically at the then-current price for the same period unless you cancel at least 24 hours before the end of the current period.
• Cancelling. Manage or cancel in your App Store or Google Play account settings. Deleting the app or your account does not cancel a subscription.
• Refunds. Refunds are handled by Apple or Google under their policies. We cannot issue refunds for store purchases directly.
• Free trials. If a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel before it ends.
• Price changes. We'll give you advance notice of price changes as required by the app store and applicable law.

Features included in a plan may change as the product develops. If we materially reduce a paid plan you've already bought, we'll tell you in advance.

Features, builds, or programs we label as beta, preview, or pre-release are provided for testing, may change or disappear, and may not work reliably. Participation in the beta program is also governed by the Beta Test Agreement.

The Service, including its software, design, maps styling, text, graphics, logos, and the Nomatic Atlas name, belongs to NomaticX or its licensors and is protected by intellectual-property laws. Your right to use the apps is described in the App License. These Terms don't grant you any right to use our trademarks.

If you send us ideas, suggestions, or feedback, we may use them without restriction or compensation to you.

We respect intellectual-property rights and respond to notices that comply with the U.S. Digital Millennium Copyright Act. Send notices to support@nomaticx.com with the subject "DMCA Notice", and include:

• the copyrighted work you claim is infringed;
• the content on the Service you claim infringes it, and where to find it;
• your name, address, phone number, and email;
• a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law;
• a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and
• your physical or electronic signature.

If your content was removed and you believe that was a mistake, you may send a counter-notice to the same address. We terminate the accounts of repeat infringers where appropriate.

You can delete your account at any time in Settings. Deletion starts a 30-day grace period; signing back in during that window cancels it. After that, your account and content are permanently deleted, except as described in the Privacy Policy. You can request a copy of your data before you go.

We may suspend or terminate your access, or remove content, if we reasonably believe you violated these Terms or the Community Guidelines, created risk or legal exposure for us or other users, or if we're required to by law. Where appropriate and safe, we'll tell you why and give you a way to appeal by contacting support.

Sections that by their nature should survive termination will survive, including Your Content license for retained copies, disclaimers, limitation of liability, indemnity, and dispute resolution.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NOMATICX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT MAPS, CONDITIONS, AI OUTPUT, OR OTHER INFORMATION WILL BE ACCURATE OR CURRENT.

WE MAKE NO WARRANTY ABOUT THE CONDUCT OF USERS OR THE SAFETY OF ANY ACTIVITY, LOCATION, OR MEETING.

TO THE FULLEST EXTENT PERMITTED BY LAW, NOMATICX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, OR FOR PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR OUTDOOR ACTIVITIES OR YOUR INTERACTIONS WITH OTHER USERS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions don't allow certain disclaimers or limits, including for death or personal injury caused by negligence, fraud, or gross negligence. Where that's the case, these limits apply only to the extent the law allows.

To the extent permitted by law, you will defend, indemnify, and hold harmless NomaticX and its officers, directors, employees, and agents from any claims, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, your activities or interactions with other users, or your violation of these Terms or of anyone's rights.

Please read this carefully. It requires you and NomaticX to resolve most disputes through individual arbitration, not in court, and waives the right to a jury trial and to class actions.

Talk to us first. Before starting a formal claim, send a written description of your dispute and the relief you want to support@nomaticx.com with the subject "Dispute Notice." We'll do the same if we have a dispute with you. Both sides will try in good faith to resolve it for 60 days. Statutes of limitation are paused during this period.

Arbitration. If we can't resolve it, any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, before a single arbitrator. The arbitration may be conducted by video, by phone, or on written submissions. Any in-person hearing will be in your county of residence or in Salt Lake County, Utah, as you choose. Payment of AAA filing, administration, and arbitrator fees is governed by the AAA's rules, and we'll pay any portion that would make arbitration cost-prohibitive for you compared with going to court. The arbitrator can award any individual relief a court could, and questions of arbitrability are for the arbitrator, except as stated below.

Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies. Either of us may seek an injunction in court for infringement or misuse of intellectual property. Nothing here stops you from reporting issues to a government agency.

Class-action and jury waiver. You and NomaticX each may bring claims only individually, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or award class-wide relief. You and NomaticX both waive the right to a jury trial. If a court finds this waiver unenforceable for any claim or type of relief, that claim or relief must be decided in court after any individual arbitration is complete, and the rest of this section still applies.

Mass filings. If 25 or more similar demands are filed by or with the help of the same counsel or coordinated group, they will be administered in batches of up to 50 under AAA's Mass Arbitration Supplementary Rules, and the parties will cooperate so fees are assessed per batch rather than per claim.

Opting out. You can reject this arbitration agreement by emailing support@nomaticx.com with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms. Include your name and the phone number or email on your account. Opting out does not affect any other part of these Terms.

Changes. If we change this section, the change will not apply to any dispute that you gave us notice of before the change took effect.

If this section doesn't apply, or you opt out, disputes will be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and you and NomaticX consent to personal jurisdiction there.

The Federal Arbitration Act governs the interpretation and enforcement of Section 19. Otherwise, these Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. If you live outside the United States, you keep the protection of any mandatory consumer laws of your country of residence.

We may update these Terms as the Service changes. For material changes, we'll post the new version here, update the effective date, and notify account holders in the app or by email at least 14 days before the change takes effect, unless the change is required sooner by law or for safety. If you keep using the Service after the change takes effect, you accept the new Terms. If you don't agree, stop using the Service and delete your account.

• Entire agreement. These Terms, and the documents they incorporate, are the whole agreement between you and us about the Service.
• Severability. If any provision is found unenforceable, the rest stays in effect.
• No waiver. Our not enforcing a provision isn't a waiver of it.
• Assignment. You can't transfer these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Notices. We may send notices in the app, by email, or by SMS to the contact info on your account. You can reach us at support@nomaticx.com.
• Export and sanctions. You may not use the Service where prohibited by U.S. export or sanctions laws.
• Force majeure. We're not liable for delays or failures caused by events beyond our reasonable control.
